Bylaws

Bylaws are rules or laws adopted by an association or corporation to govern its actions.
Bylaws are typically divided into separately enumerated Articles, addressing the following:
- mission or objective of the organization
- categories and rules of membership
- appointment and duties of officers
- annual meting
- membership, meeting, voting, and quorum for the assembly
- Board of Directors
- Executive Committee to handle matters without convening the entire Board of Directors
- Committees
- Miscellaneous issues, such as whether voting by proxy is allowed, whether there shall be any compensation, definition of the fiscal year, and use of a seal
- scope of authority
- official publication
- state chapters, if any
- auxiliary or affiliates
- definition of the fiscal year
- amendment process
- rules of order (Robert's or Sturgis)
